Terms & Conditions of Sale
These Terms & Conditions apply to all quotations, orders and contracts for the supply of goods and services by Printon Plastics & Assemblies Ltd (“Printon”).
1. General
These Terms & Conditions apply to all quotations, orders and contracts for the supply of goods and services by Printon Plastics & Assemblies Ltd (“Printon”) and shall apply in place of any other terms the customer seeks to impose or incorporate, unless agreed by Printon in writing.
Any quotation issued by Printon is subject to these Terms & Conditions. A contract is formed when the customer accepts a quotation, places an order, or instructs Printon to proceed.
2. Quotations and prices
All quotations are based on the information, drawings, samples, specifications and quantities provided at the time of quoting.
Unless otherwise stated, quotations are valid for 30 days from the date of issue.
All prices are exclusive of VAT unless otherwise stated.
If the customer changes the specification, artwork, quantities, materials, finish, packaging, delivery requirements or any other requirement after quotation, Printon reserves the right to amend the price accordingly.
3. Origination, plates, dies, jigs and tooling
Any charges for artwork preparation, printing plates, dies, jigs, tooling, sampling or similar items are charges for manufacture, preparation, development, procurement and use in connection with the customer’s work.
Unless otherwise agreed in writing, all printing plates, dies, jigs, tooling and related production aids remain the property of Printon, even where the customer has paid charges relating to them.
Printon may retain such items for repeat-order purposes at its discretion. Replacement or new tooling, plates, dies or jigs may be charged where existing items are worn, damaged, obsolete or no longer suitable.
4. Customer information and approvals
The customer is responsible for ensuring that all artwork, drawings, specifications, instructions and approvals supplied to Printon are accurate and complete.
Where artwork, proofs, layouts or samples are submitted for approval, production will proceed on the basis of the customer’s approved version, and Printon shall not be responsible for errors contained within approved artwork, proofs or instructions.
The customer is also responsible for ensuring that any materials, designs, logos or content supplied to Printon do not infringe the rights of any third party.
5. Production, colour and tolerances
All goods are supplied subject to reasonable manufacturing tolerances.
Due to variations in substrates, mouldings, surface finishes, inks, foils and production conditions, exact colour, shade, registration and appearance cannot be guaranteed unless expressly agreed in writing.
Where exact colour matching or critical positioning is required, this must be agreed in writing before production begins.
Unless otherwise agreed in writing, quantities supplied may vary by up to 5% over or under the quantity ordered and the customer will be invoiced for the quantity actually supplied.
6. Delivery and lead times
Any delivery dates or lead times given by Printon are estimates only unless expressly confirmed otherwise in writing.
Printon shall not be liable for delays caused by matters outside its reasonable control, including customer delay, late approvals, material shortages, machine breakdown or transport disruption.
Any carriage or delivery charges shall be charged as stated in the quotation, order acknowledgement or invoice.
7. Payment
Payment is due in accordance with the payment terms stated in the quotation or invoice.
If no specific payment term is stated, payment is due within 30 days of invoice date.
Printon reserves the right to charge interest on overdue accounts and to suspend further work or deliveries until overdue sums are paid.
8. Inspection, claims and liability
The customer must inspect goods promptly on delivery.
Any shortage, damage or defect apparent on reasonable inspection must be notified in writing within 7 days of delivery. Any claim for non-delivery must be notified within 7 days of the expected delivery date.
Printon’s liability in relation to any claim shall be limited to the price paid for the goods or services giving rise to that claim. Printon shall not be liable for any indirect or consequential loss, loss of profit, loss of production or loss of business.
Nothing in these Terms & Conditions limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability which cannot lawfully be excluded.
9. Cancellation
Orders may not be cancelled without Printon’s written agreement.
If cancellation is accepted, the customer shall pay for all work carried out, materials purchased, tooling prepared, and any other costs incurred up to the date of cancellation.
10. Governing law
These Terms & Conditions and any contract between Printon and the customer shall be governed by the law of England and Wales, and subject to the jurisdiction of the courts of England and Wales.
